These Terms of Service ("Terms") govern your access to and use of the website (jrhicsp.com) and the services provided by JRH Pharma Ltd ("we," "us," or "our"), a healthcare management and technology consultancy registered in England and Wales (Company Number: 16604935).

By accessing this website or using our services, you agree to be bound by these Terms. These Terms apply to our business partners, Partner Organisations, and website visitors.

1. Our Role and Services

JRH Pharma Ltd is an Integrated Care Services Provider (ICSP). We provide non-clinical management, administrative, logistical, compliance, and technology platform support services ("Services") to independent, regulated healthcare providers, such as medical clinics and pharmacies ("Partner Organisations").

We are not a healthcare provider. We do not employ clinicians, provide medical advice, prescribe medications, or dispense medications. Our role is strictly to provide the operational and technological framework to. support our Partner Organisations.

A strict separation is maintained between the clinical functions of our Partner Organisations and our administrative support functions.

2. Use of Our Services and Platforms

Access to our proprietary digital platforms (e.g., the "Indra" portal) is restricted to authorised personnel from our Partner Organisations, as governed by a formal Service Level Agreement (SLA).

You agree not to misuse our Services or platforms. You will not attempt to gain unauthorised access, interfere with the platform's operation, or use the platform for any purpose other than its intended non-clinical coordination function.

3. Service Level Agreements (SLAs)

Our entire relationship with our Partner Organisations is defined by formal, arm's-length SLAs. These agreements detail the specific Services we provide, financial terms, data processing obligations, and compliance requirements for each party.

These Terms of Service are supplemental to any SLA. In the event of a conflict, the terms of the SLA will prevail for that Partner Organisation.

4. Disclaimers and Limitation of Liability

JRH Pharma Ltd provides administrative and technological services only. We are not responsible for, and disclaim all liability arising from, the following:

Our Partner Organisations are independent legal entities and are solely responsible for their own clinical and regulatory compliance (e.g., CQC, GPhC standards). Our role is to provide the infrastructure and support to assist them in meeting their obligations.

To the fullest extent permitted by law, JRH Pharma Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising from your use of our website or Services.

5. Intellectual Property

All content on this website, along with our digital platforms, logos, and branding (e.g., "Indra Care"), are the exclusive intellectual property of JRH Pharma Ltd. You may not use, copy, reproduce, or modify any of our intellectual property without our express written permission.

6. Governance and Compliance

We operate under a strict governance framework and maintain a comprehensive suite of policies, including for Conflict of Interest and Transparency. We are committed to lawful, transparent, and auditable operations in full compliance with UK law.

7. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms will be subject to the exclusive jurisdiction of the courts of England and Wales.
